Terms of Use

“QORAI”, “we”, “us”: QORAI Technology Company Limited (Công ty TNHH Công Nghệ QORAI), enterprise and tax code 0319458147, 3rd Floor, No. 9, D1 Street, Melosa Garden Khang Dien, Long Truong Ward, Ho Chi Minh City, Vietnam.

“Services”: the qorai.io website and the software provided by QORAI, including QORAI Live (automated livestream selling, live.qorai.io), QORAI Accounting & Sales (fin.qorai.io), Packvi (packing video recording, packvi.qorai.io), ProfitOps, Brand Content Factory, AutoReply, EmailFlow and their related features, apps and documentation.

“User”, “you”: the individual or organisation that registers for and uses the Services, including staff members you grant access to.

“Your Content”: data, images, videos, scripts, product information, orders and any other material you upload, connect or create with the Services.

“Third-party platforms”: the marketplaces and social networks you connect to the Services, such as Shopee, TikTok Shop, TikTok, Facebook, Zalo and Google.

You must provide accurate and complete registration information and keep it up to date. Individual users must be at least 18 years old.

You are responsible for keeping your password confidential and for all activity in your account, including activity by staff you authorise. Notify us immediately of any unauthorised access.

Each account is for one individual or one organisation. Accounts may not be sold, rented or shared with other parties.

Some features require you to grant access to your seller account, Facebook Page or ads account through the platform’s official authorisation flow. You may only connect stores and pages that you own or are legally entitled to manage.

We use the granted permissions only to deliver the features you have enabled, such as syncing orders and products, managing livestream sessions, pinning products, replying to messages and calculating profit. You can disconnect at any time in the software or in the platform’s settings.

You must comply with each platform’s policies (seller, livestream and advertising policies). QORAI is not responsible when a platform changes its policies, limits features, suspends a store or discontinues its integration interfaces for reasons not caused by QORAI.

You may use the Services only for lawful business purposes. Prohibited: selling counterfeit, banned or untraceable goods; false advertising; spam; fraudulent orders, reviews or views; infringing other people’s intellectual property, image or privacy rights.

You may not use the Services to create or broadcast content that impersonates others, or that is pornographic, violent, hateful, defamatory or otherwise unlawful under Vietnamese law.

You may not probe, attack or disrupt the systems; reverse engineer, copy or extract the source code, models or data of the Services; or access the Services with automated tools other than the interfaces we officially provide.

Some features use artificial intelligence to generate voice, images, video, scripts or replies. AI output may be inaccurate; you are responsible for checking product information, prices and promotions before publishing, and for the content broadcast under your store’s name.

For livestreams with a virtual host, QORAI automatically labels the content as AI-generated as required by the marketplaces. You must not remove or obscure this label.

When you provide a person’s image, voice or video to create a custom host, you confirm that you have that person’s lawful consent. QORAI may refuse or remove content that appears to violate these terms.

You retain all rights to Your Content. You grant QORAI the right to use Your Content to the extent necessary to provide, maintain and support the Services for you.

QORAI retains all rights to its software, interfaces, brands, virtual hosts and other resources it builds. Videos created for your store during your subscription may be used to sell for that store.

Prices, quotas and benefits of each plan are published on each product’s pricing page. Listed prices exclude value-added tax (VAT) unless stated otherwise.

Free trials (if any) and their conditions are published separately for each product. After a trial ends, the service continues only when you choose a plan and pay; we do not charge you automatically.

Payment is made by bank transfer or other methods shown in the software. QORAI issues electronic invoices using the information you provide.

Fees may change; changes are announced at least 15 days in advance and apply only from the next billing cycle.

Refunds, if any, are made according to the agreement between QORAI and each customer, as set out in the quotation, contract or written confirmation between the parties.

We strive to keep the Services running continuously but do not guarantee uninterrupted operation. Planned maintenance is announced at least 24 hours in advance, except for emergencies needed to keep the system secure.

We may update, add or discontinue features. If we discontinue a core feature of your current plan, we will notify you in advance and offer an alternative or settle fees as agreed with you.

We may suspend or terminate your account if you breach these terms or the law, fail to pay on time, or when required by a competent authority. Serious violations may result in immediate suspension without refund.

You may stop using the Services and request account deletion at any time. After termination, data is handled under the Privacy Policy; please export any data you need before requesting deletion.

The Services are business tools; QORAI does not guarantee any particular sales, profit or view count unless agreed in writing or under a published programme.

To the extent permitted by law, QORAI is not liable for indirect damages, lost profits or data loss caused by third-party platforms, incorrect information you enter, or force majeure. QORAI’s total liability shall not exceed the fees you paid for the relevant service in the 3 months preceding the event.

Personal data is collected and processed under the Privacy Policy at qorai.io/en/privacy, which forms an integral part of these terms.

We may update these terms. The new version is posted on this page with its update date; material changes are notified by email or in the software. Continuing to use the Services after the changes take effect means you accept the new terms.

These terms are governed by the laws of Vietnam. Disputes shall first be resolved through negotiation; if no agreement is reached within 30 days, the dispute shall be brought to the competent People’s Court in Ho Chi Minh City.
